Please read these Terms of Service ("Terms", "Agreement") carefully before using the SaaS POS system, mobile application, desktop application, and related services (collectively, the "Service") operated byDOKANI ONLINE LLC ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you may not access or use the Service.

1. Eligibility and Account Registration

1.1. Eligibility: You must be at least 18 years of age to use the Service.

1.2. Account Information: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. You agree to notify us immediately of any unauthorized access or security breach.

2. Free Tier

2.1. We offer a Free tier that lets new users evaluate the Service at no cost, subject to certain feature and usage limits.

2.2. The Free tier is available indefinitely. There is no time-limited trial, and your access is not suspended after any set period.

2.3. You may upgrade to a paid plan (Pro or Pro+) at any time to unlock additional features. You are only charged if and when you choose to purchase a license or subscription.

3. Pricing, Payment, and Subscriptions

3.1. Plans Offered: The Service is available in the following plans:

  • Free: A no-cost plan with limited features and usage, available indefinitely so you can evaluate the Service before purchasing.
  • Pro (One-Time License): A single payment granting a lifetime license for offline use, including local/LAN devices within a single store. No recurring charge.
  • Pro+ (Subscription): A monthly or annual subscription that adds cloud synchronization and support for multiple stores/locations. Annual billing is offered at a discounted rate.

3.2. Billing: All subscriptions automatically renew at the end of each billing cycle unless canceled before renewal. Payment is due upfront at the beginning of each billing cycle.

3.3. No Refunds: All payments are final and non-refundable. This includes:

  • Partial months or unused periods
  • Downgrades or upgrades
  • Accidental renewals or cancellations

3.4. Price Changes: We reserve the right to adjust pricing or introduce new plans. Any changes will be communicated in advance and apply to the next billing cycle.

3.5. Suspension for Non-Payment: If payment fails or is not received, your access to the Service may be suspended until payment is completed.

3.6. In-App Card Payments (Stripe): The Service optionally lets you (a merchant) accept card payments from your own customers. Card processing is provided by Stripe, Inc. through Stripe Connect. To accept payments you must create and onboard a Stripe connected account and accept the Stripe Connected Account Agreement (and applicable Stripe terms) directly with Stripe. Stripe is the payment processor and you are the merchant of record for sales to your customers. DOKANI ONLINE LLC facilitates the connection and charges a platform fee on transactions, but does not itself process, hold, or settle your customers' card funds — those are settled by Stripe to your connected account. Settlement times, processing fees, holds, refunds, chargebacks, and disputes are handled under your agreement with Stripe. Availability depends on Stripe and your account's eligibility and may be changed, suspended, or discontinued. For in-person sales you may instead record payments taken on an external card terminal; those are processed by your terminal provider under your separate agreement with them.

3.7. Card Data and PCI Compliance: When you accept card payments through Stripe, card and authentication data are captured and processed entirely by Stripe's systems and never pass through the application or our servers. We receive only limited transaction metadata (such as amount, status, card brand, last four digits, and a reference) to record the sale and print a receipt. Because card data does not enter our application, your PCI DSS scope for this integration is reduced; you nonetheless remain responsible for complying with the Payment Card Industry Data Security Standard (PCI DSS) as applicable to your acceptance of card payments. 3.8. Online Booking Deposits: If you enable online booking, your customers may pay booking deposits or prepayments through Stripe Connect to your connected account. You set the cancellation and refund terms (including any refund window) that are shown to your customer at the time of booking, and those terms — not the SaaS refund terms in this Agreement — govern refunds of your customers' booking payments. Platform fees applied to such payments are non-refundable.

4. Data Ownership and Privacy

4.1. Data Ownership: You retain ownership of all data you input into the system.

4.2. Data Privacy: We will not sell, rent, or share your personal or business data with third parties for marketing or commercial purposes.

4.3. Local-First Storage: Your data is primarily stored locally on your device. Cloud synchronization is optional and only activated with eligible subscription plans.

4.4. Device Permissions: The mobile application may request access to your device's camera (for barcode scanning), Bluetooth (for thermal printer connectivity), and location (required by Android for Bluetooth scanning). These permissions are optional and can be managed in your device settings.

4.5. Compliance: We process data in accordance with applicable data-protection laws, including the California Consumer Privacy Act (CCPA) and, where applicable to users in the European Union, the General Data Protection Regulation (GDPR).

4.6. Account Deletion: You may request permanent deletion of your account and all associated cloud data at any time by visiting our Account Deletion page or by emailing support@dokanionline.com. Upon deletion, all cloud-stored business data (products, customers, sales, staff records, appointments, images, subscriptions, and device activations) is permanently removed. Locally stored data on your device is not affected and persists until you uninstall the app or clear app data. Anonymized crash reports may be retained for up to 90 days for stability purposes. 5. License and Acceptable Use

5.1. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes only.

5.2. You may not copy, resell, sublicense, reverse engineer, or misuse any part of the Service or its content.

5.3. You agree not to use the Service to store or transmit unlawful, defamatory, or malicious content.

6. Intellectual Property

All intellectual property, including but not limited to the software, code, design, trademarks, and logos of the Service, are and shall remain the exclusive property ofDOKANI ONLINE LLC and its licensors.

You may not use our trademarks or trade dress without prior written consent.

7. Service Availability and Updates

7.1. We strive to ensure continuous availability of the Service but do not guarantee uninterrupted or error-free operation.

7.2. We may update or modify the Service (including features and pricing) at any time to improve functionality, comply with legal obligations, or maintain performance.

8. Limitation of Liability

To the maximum extent permitted by law, DOKANI ONLINE LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or profits, arising from the use or inability to use the Service, even if we have been advised of the possibility of such damages.

9. Termination and Data Deletion

We reserve the right to suspend or terminate your account without notice if you violate these Terms, misuse the Service, or engage in fraudulent activity.

Upon termination, your right to use the Service will immediately cease. We may retain anonymized data for analytics and improvement purposes.

You may voluntarily delete your account at any time via our Account Deletion page. Deletion permanently removes all your cloud-stored data, including account profile, store settings, business records, images, subscriptions, and device activations. Local data on your device is not affected by cloud deletion. For a full list of data deleted and retained, see our Privacy Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Material changes will be communicated with at least 30 days’ notice. Continued use of the Service after any change constitutes acceptance of the revised Terms.
